YU Jianqiang (于建强) is currently the Chief Supervisor and a Shareholder Representative Supervisor of our Bank. Mr. Yu joined our Bank in February 2015. Main experience of Mr. Yu includes: from October 1981 to December 1984, he worked as worker in the Storage and Transportation Department of Zhejiang Silk Company. From December 1984 to April 1992, he worked as section member and principle staff member in the Propaganda Department of the Communist Youth League of Zhejiang Provincial Party Committee. From May 1992 to April 1994, he worked as Assistant to Section Chief and managed the work in the Propaganda Department of the Communist Youth League of Zhejiang Provincial Party Committee. From May 1994 to March 1997, he worked as Vice Section Chief and managed the work in the Propaganda Department of the Communist Youth League of Zhejiang Provincial Party Committee. From April 1997 to October 1998 he worked as full-time Vice Secretary (division level) and Vice Section Chief of the Propaganda Department in Communist Youth League of Zhejiang Provincial Party Committee. From October 1998 to December 2002, he worked as Section Chief of United Front Department in the Communist Youth League of Zhejiang Provincial Party Committee and Vice chairman and General Secretary in Zhejiang Youth United Association. From January 2003 to September 2003, he worked as Vice Section Chief (division level) in the Office of the Food and Drug Administration in Zhejiang Province. From October 2003 to October 2009, he worked as Section Chief in the Office of the Food and Drug Administration in Zhejiang Province. From December 2009 to February 2015, he worked as General Manager Assistant of the Minsheng Life Insurance Company Ltd.

Mr. Yu graduated as a Chinese Language Major and obtained the [*] degree from Zhejiang Radio and TV University in July 1985. And he graduated as an Economic Management Major and obtained the [*] degree from the Party School of the CPC in July 1993. And he graduated as an Administration Regulation Major and obtained the [*] degree from Zhejiang Provincial Party School in July 2002.

TAO Xuegen (陶学根) is currently a Shareholder Representative Supervisor of our Bank. Mr. Tao joined our Bank in June 2005 and was appointed as Director of our Bank from June 2005 to [February 2015]. Since February 2015, Mr. Tao has been Shareholder Representative Supervisor of our Bank. Main experience of Mr. Tao includes: from June 2004 till now, he was appointed as Vice Party Secretary of Lizi Group Co., Ltd., shareholder of our Bank.

Mr. Tao graduated as a Law Major (Correspondence Course) from East China University of Political Science and Law in July 1991.

ZHOU Yang (周洋) is currently a Shareholder Representative Supervisor of our Bank. Mr. Zhou joined our Bank in February, 2015. Main experience of Mr. Zhou includes: from October 2006 to July 2011, he was appointed as Assistant to Financing Manager of Zhejiang Yongli Industrial Group Co., Ltd. From July 2011 to May 2014, he worked as Credit Clerk and Credit Manager of Zhejiang Province Shaoxing County Yongli Micro-finance Limited Liability Company. Since May 2014, he has held the position of Vice General Manager of Zhejiang Yongli Industrial Group Co., Ltd., shareholder of our Bank.

Mr. Zhou graduated as a Business Administration Major from University of Delaware in the U.S.A. in July 2014 and obtained Bachelor Degree.

ZHANG Xianfei (章贤妃) is currently a Shareholder Representative Supervisor of our Bank. Ms. Zhang joined our Bank in [February 2015]. Main experience of Ms. Zhang includes: from December 2001 to January 2008, she held the position of Chief Financial Officer of Rifa Holding Group Co., Ltd.; from January 2008 to September 2011, she was appointed as Assistant President of Rifa Holding Group Co., Ltd.; from September 2011 to August 2015, she was appointed as Managing Vice President of Rifa Holding Group Co., Ltd.; since October 2008 till now, she has been General Manager of Wudu Investment Co., Ltd..

Ms. Zhang graduated as a Finance Major from Jinhua School of Finance and Economics in June 1989 and obtained the degree of [**]. In December 2003, she graduated from Economics and Management Major of Party School of Central Committee of CPC in July 2003 and obtained the Degree of [**]. In September 2003, she was granted qualified accountant by Professional Title Reforming Leading Group Office of Shaoxing City, Zhejiang Province.

ZHENG Jianming (郑建明) is currently a Vice Chief Supervisor and Office Director of Board of Supervisor and an Employee Representative Supervisor of our Bank. Mr. Zheng joined our Bank in July 2013. Main experience of Mr. Zheng includes: from July 1994 to December 1998, he was appointed as Office Secretary of Zhejiang Provincial Branch of People’s Bank of China. From December 1998 to June 2004, he successively held the posts of Office Secretary, Vice Section Chief, Section Chief and Vice Director of Hangzhou Central Sub-branch, People’s Bank of China. From June 2004 to May 2013, he successively held the positions of Vice Division Chief, Vice Research Analysts (secretary of confidential information) and Secretary of Vice Division Chief Level and Secretary of Division Chief Level of No. 2 General Division, Zhejiang Provincial General Office of the People's Government. From June to August 2013, he has been worked as Supervisor of our Bank. Since February 2015, he has been appointed as Employee Representative Supervisor and Vice chairman of Board of Supervisor.

Mr. Zheng graduated as an Economics Major from the Party School of Central Committee of CPC of Economics in July 2008. In November 2001, he obtained the qualification of economics granted by the Ministry of Personnel.

DONG Zhoufeng (董舟峰) is currently an Employee Representative Supervisor of our Bank. Mr. Dong joined our Bank in March 2004. Main experience of Mr. Dong includes: from August 1980 to May 2000, he successively held the positions of Vice Subsection Chief of Planning Subsection of Dinghai County Sub-branch of People’s Bank of China; Clerk, Section Chief, Assistant to President and Head of Planning Section, Assistant to President and Director of General Office, Vice President of Branch and Vice Director of Administration of Foreign Exchange Bureau, President and Director of Administration of Foreign Exchange Bureau, Member and Secretary of Party Committee of Zhoushan Branch, People’s Bank of China. From June 2000 to March 2004, he was appointed as Assistant to President of Hangzhou Branch of CITIC Industrial Bank and President of Ningbo Sub-branch. After he joined our Bank, he worked in Preparation and Coordination Working Group of China Zheshang Bank from March 2004 to July 2004. From July 2004 till now, he was appointed successively as Vice director of Office of our Bank and Executive Manager of Management Center of Office Organization, General Manager of Human Resource Department, Vice Secretary of Authority of Head Office of our Bank, Member of Commission for Discipline Inspection, Director of Work Department of Party Affairs, supervisor.

Mr. Dong graduated as an Economics and Management Major from the Correspondence School of the Party School of Central Committee of CPC in December 2000 , he also graduated from Economics and Management Major of Hangzhou University (current Zhejiang University) in September 1998. In August 1994, he was granted the qualification of senior economists by People’s Bank of China.

GE Lixin (葛立新) is currently an Employee Representative Supervisor of our Bank. Mr. Ge joined our Bank in July 2004. Main experience of Mr. Ge includes: from August 1986 to April 2004, he worked at Personnel Division, Funds Raising Division, Trust and Investment Company, Sub-branch directly under the Branch (Yan’an Road Sub-branch), Market Development Division and Company Business Division of Zhejiang Branch, Agricultural Bank of China. Since July 2004 till now, Mr. Zhang has successively held the posts of Executive Manager of Business Management Department, Assistant to General Manager and Vice General Manager; during this period he held concurrent posts of Vice General Manager of Small Business Credit Center, Vice General Manager of Corporate Banking Department, Vice General Manager of Development and Research Department, General Manager; during this period he held concurrent positions of Vice General Manager of Small Business Credit Center, Vice General Manager of Planning and Finance Department and General Manager of Assets and Liabilities Department of the Head Office of our Bank.

Mr. Ge graduated as a Rural Finance Major from Zhejiang Academy of Bank (current Zhejiang Financial College) in July 1986. In July 1991, he graduated from Finance Major of Zhejiang Radio and TV University, and he graduated from Money and Banking Major of Zhejiang University in July 1999.

ZHANG Rulong (张汝龙) is currently an Employee Representative Supervisor of our Bank. He joined our Bank in July 2004. Main experience of Mr. Zhang includes: from August 1986 to April 2004, he worked at Shaoxing Sub-branch Zhejiang Provincial Branch, Credit and Loan Management Division of Provincial Branch, Zhejiang Rongda Information Inquiry Company and Shaoxing City Branch of Agricultural Bank of China. Since July 2004, Mr. Zhang had held the positions of Vice General Manager of Risk Management Department of Head Office, Vice general manager and general manage of Credit Review Department of Head Office, and Supervisor.

Mr. Zhang graduated as a Finance and Accounting Major from Zhejiang Jinhua Supply and Marketing School (current Jinhua Polytechnic) in July 1986. In June 1990, he graduated from Commercial Enterprise Management Major (Self-taught Examination) of Hangzhou Institute of Commerce. He also graduated from Money and Banking Major of Zhejiang University in July 1999.

JIANG Zhihua (蒋志华) is currently an External Supervisor of our Bank. Mr. Jiang joined our Bank in [May 2004]. From May 2004 to August 2010, he was appointed as Independent Director of our Bank. Since August 2010 he has been External Supervisor of our Bank. Main experience of Mr. Jiang includes: from April 1982to August 1983 he served as Vice President of Zhenhai County Sub-branch of Agricultural Bank of China. From September 1983 to November 1990, he held the positions of Vice President and President of Ningbo Branch of Agricultural Bank of China. From November 1990 to February 2002, he had successively held the positions of Vice President and President of Zhejiang Provincial Branch of Agricultural Bank of China.

Mr. Jiang graduated from Tianjin Institute of Finance and Economics with College Degree in January 1985. He was granted the qualification of senior economists by Agricultural Bank of China in January 1991.

YUAN Xiaoqiang (袁小强) is currently an External Supervisor of our Bank. Mr. Yuan joined our Bank in February 2015. Main experience of Mr. Yuan includes: from December 1982 to April 1998, he served as Division Chief of Hangzhou Municipal Office of State Tax Bureau, Zhejiang Province. From May 1998 to December 1999, he held the position of Vice Director of Hangzhou Tax Agency of Zhejiang Province. Since January 2000, he has been senior partner of Zhonghui Tax Agency and Zhonghui Accounting Firm. Mr. Yuan is also CPPPC (Chinese People's Political Consultative Conference) member of Zhejiang Province, Executive Director of CCTAA (the Chinese Certified Tax Agents Association), Vice Chairman and Director of Standards Committee of Zhejiang Province Certified Tax Agents Association and Vice Chairman of Zhejiang Province Intellectuals Fellowship.

Mr. Yuan graduated as an Industry and Business Administration Majorfrom Zhejiang University (Distance Education) in July 2001. In June 2005, he graduated from Senior Management Personnel Business Administration Master’s Major of Zhejiang University and obtained Master’s Degree of Senior Management Personnel Business Administration. In October 1999, he obtained the qualification of Registered Tax Agent of Zhejiang Province Certified Tax Agents Administration Center. Mr. Yuan was granted the qualification of senior accountant by Zhejiang Province Personnel Division in December 2002. He obtained the qualification of Certified Accountant of Zhejiang Province Certified Accountant Association in March 2006.

HUANG Zuhui (黄祖辉) is currently an External Supervisor of our Bank. Mr. Huang joined our Bank in February 2015. Main experience of Mr. Huang includes: since September 1998, he has been worked as Professor and Doctoral Supervisor of Agricultural Economical Management Institution of Administration. Mr. Huang is also Vice Chairman of Chinese Rural Cooperative Economic Management Institute.

Mr. Huang graduated as an Agricultural Economics and Management (Financial Accounting) Major from Heilongjiang Bayi Agricultural University in January 1982 and obtained Bachelor Degree. He graduated in July 1986 from Agricultural Economics and Management Major of Zhejiang Agricultural University and obtained Master Degree.

WANG Jun (王军) is currently an External Supervisor of our Bank. Mr. Wang joined our Bank in February 2015. Main experience of Mr. Wang includes: from July 2003 to November 2009, he was appointed as Vice Division Chief and Division Chief of Central Policy Research Office in July 2004 and April 2009, separately. Since November 2009 till now, he has been working as Vice Director of China International Economic Exchanges Center. In December 2009, he was hired as Director of Department of Macroeconomic Research; Since April 2015 till now, he has held the position of Vice Director of Information Department of China International Economic Exchanges (in charge of general work).

Mr. Wang graduated as an Industrial Engineering Management Major from North China University of Technology and obtained Bachelor Degree of Engineering in July 1992. In January 2000, he graduated from Plan and Management of National Economy Major, Central University of Finance and Economics and obtained Master Degree of Economics in April 2000. In June 2003, he graduated as a National Economics Major from Central University of Finance and Economics and obtained Doctorate in Economics in July 2003. From July 2008 to December 2010, Mr. Wang conducted postdoctoral research in Tehua Investment Holding Co., Ltd.. Mr. Wang was granted the title of associate researcher by National Development and Reform Commission in December 2010.

Special committees under the Board of Supervisors

The Board of Supervisors set up Supervisory Committee and Nominations Committee. The Committees consist of supervisors, selected by and take responsibilities for the Board of Supervisors.

Supervisory Committee under the Board of Supervisors

The Board of Supervisors set up a Supervisory Committee according to the Articles of Association and specified its terms of reference in writing. The Supervisory Committee consists of 5 supervisors, namely Yuan Xiaoqiang, Tao Xuegen, Zhou Yang, Zhang Rulong and Wang Jun. In particular, external supervisor Yuan Xiaoqiang is the chairman of the Committee. Primary responsibilities of the Supervisory Committee include but are not limited to the following: (I) Be responsible for formulating supervision programs of the Bank’s financial activities and carrying out relevant examinations; (II) Supervise the Board of Directors to establish steady business philosophy and criterion value and to formulate development strategies in line with the Bank’s actual conditions; (III) Regularly assess the scientificity, rationality and effectiveness of the development strategies formulated by the Board of Directors, and issue assessment reports; (IV) Guide the work of internal audit department of the Bank; (V) Supervise, as needed, the work performance of directors, supervisors and senior management, and audit senior management when they are to leave their posts; (VI) Conduct supervision and inspection on the major business decisions, risk management condition and internal control of the Bank; (VII) Exercise other functions and powers conferred by the Board of Supervisors.

Nominations Committee

The Board of Supervisors set up a Nominations Committee according to the Articles of Association and specified its terms of reference in writing. The Nominations Committee consists of 5 supervisors, namely Jiang Zhihua, Huang Zuhui, Dong Zhoufeng, Ge Lixin and Zhang Xianfei. In particular, external supervisor Jiang Zhihua is the chairman of the Committee. Primary responsibilities of the Supervisory Committee include but are not limited to the following: (I) Study out procedures and standards concerning election and appointment of supervisors, recommend qualified external supervisor candidates, conduct preliminary review on the qualifications of supervisor and external supervisor candidates who are representatives of shareholders, and put forward proposals to the Board of Supervisors; (II) Propose to the Board of Supervisors the candidates of chief supervisor, vice chief supervisor and chairmen of various special committees according to the actual conditions of the Bank; (III) Supervise the directors recruiting procedures; (IV) Study out the remuneration plan for supervisors, propose remuneration plan to the Board of Supervisors, supervise the implementation of the said plan after submit it to the Board of Supervisors for consideration and the shareholders’ meeting for consideration and approval, and supervise the remuneration management systems and policies throughout the Bank and remuneration plans for senior management; (V) Study out measures for performance evaluation of directors, supervisors and senior management, and put forward the proposal to the Board of Supervisors, and organize relevant implementation upon consideration and resolution of the Board of Supervisors; (VI) Work together with the Office of Board of Supervisors to establish performance supervision & recording system for directors, supervisors and senior management, and improve performance supervision files; (VII) Exercise other functions and powers conferred by the Board of Supervisors.
